Investor Guide
How It Works
A transparent, deal‑by‑deal investment model through dedicated SPVs. Investors (LPs) become equity owners in the SPV, while PAIM Capital acts as the GP—managing the investment and co‑investing ("skin in the game").
Overview
In 90 Seconds
Here is the investment lifecycle—from project selection and due diligence to distributions and exit.
Deal Selection
We source opportunities (primarily in Poland) aligned with our strategy.
Due Diligence
Legal, financial, and risk analysis, plus transaction structuring.
SPV Structuring
We establish a dedicated SPV for the specific deal.
Investment Documentation
Term sheet + full document pack for LP/GP.
Subscription & Funding
Investors subscribe for equity and fund the deal per offer terms.
Closing
The SPV executes the transaction (asset acquisition / equity entry).
Active Management
The GP monitors execution, drives value creation, and reports progress.
Distributions & Exit
Cash returns depend on project cashflow; exits are executed at the best market opportunity—subject to investor approval per deal documents.
Legal Framework
Legal Structure: SPV / LP / GP
Each investment is executed deal‑by‑deal through a dedicated Special Purpose Vehicle (SPV), improving transparency and separating risk across transactions.
Special Purpose Vehicle
- A dedicated company created for one specific transaction.
- Assets and liabilities are ring‑fenced from other deals.
- Equity owners of the SPV are the investors participating in that transaction.
Investors
- Investors subscribe for equity in the SPV as owners (LPs).
- They participate in profits pro‑rata to contributed capital.
- Information rights and voting rules are defined in each deal's documentation.
PAIM Capital
- PAIM Capital acts as the GP: sourcing, execution, oversight, reporting, and exit recommendations.
- We co‑invest alongside LPs ('skin in the game') to align incentives.
- The GP operates under a GP Agreement and deal‑specific governance rules.
What do you invest in?
Equity ownership: you acquire shares/units in the SPV.
Jurisdiction?
Legal structuring can vary by transaction; details are always disclosed in the deal documents.
Capital Flow
Funds Flow: Where Your Money Goes
Investors expect clarity—so we show a simple funds flow and the rules for capital deployment.
Investor funds do not go to the platform's operating accounts—capital is routed to the transaction structure.
Depending on the transaction, we use escrow (custody) or a dedicated SPV bank account.
Capital is deployed only after closing conditions defined in the deal documents are satisfied.
If a transaction does not close under the disclosed conditions, funds are returned according to the offer terms.
* The exact funds flow model (escrow vs SPV account) is always disclosed in the documents of each individual opportunity.

Selection Standards
Project Selection & Due Diligence
It's not only about returns—what matters is what we verify before an opportunity goes live.
Screening — Initial Selection
- Strategy fit (ARR / money multiple / risk profile)
- Clear value creation plan
- Identification of 'deal‑breaker' risks
- Initial review of transaction structure
Full Due Diligence — Pre‑Closing
- Legal review: title/ownership, key contracts, permits, disputes
- Financial review: model assumptions, stress tests, scenarios
- Market/operational review: demand, competition, feasibility of the plan
- Transaction structure: protections, covenants, closing conditions
- Risk & mitigations: risk map + mitigation actions
Depending on the transaction, we may also engage external experts (legal / financial / technical) to validate key assumptions.
Controls & Accountability
Risk Management & Governance
Institutional and HNWI investors expect clear controls and accountability.
Risk Map
- We identify key risks: market, liquidity, execution, regulatory, operational.
- Each opportunity discloses the primary risks and the mitigation plan.
Monitoring & Communication
- The GP monitors KPIs, budget, and execution milestones.
- Material deviations are communicated in monthly reports and, when needed, on an event‑driven basis.
Reserved Matters for LPs (examples)
- Sale of the asset / exit
- Taking on material debt or changing the financing structure
- Material changes to strategy or budget
- Related‑party transactions
Exact thresholds and voting requirements are defined in each deal's documents.
We aim for full transparency around conflicts of interest. Identification and management principles are disclosed in deal documents and internal policies.

Value Realization
Exit Strategy: Opportunity‑Driven, Not a Fixed Date
Our goal is to maximize money multiple and recurring revenue growth (ARR where applicable), so we do not force an exit at a predetermined date.
We pursue exits when the market offers the best opportunity (e.g., sale, refinancing, partial realization).
The GP provides LPs with a recommendation and analysis. Exit decisions follow the investor approval mechanism defined in each deal's documentation.
Outright sale of the asset or company at an optimal market moment.
Recapitalizing the asset to return capital while retaining upside.
Staged exits to lock in returns while managing remaining exposure.
